Terms and conditions

1. General information

1.1. Majestic Management & Consulting (MMC) SA manages the Symposium platform, which aims to connect clients, generally active in the catering and hotel industry, with suppliers of goods and services. Clients and suppliers are referred to together as "the parties" or "the partners".

1.2. Clients can integrate their own suppliers into the platform. Clients then act under their own responsibility.

1.3. Any person who uses the Symposium platform declares that they accept these General Terms and Conditions of Sale (GTC) without reservation.

1.4. The GTC are subject to change at any time, so users are invited to read them each time they use the platform, it being specified that the date of the latest changes appears at the bottom of the GTC.

1.5. The GTC in force at the time of an order are binding.

2. Contractual commitments

2.1. Symposum’s sole purpose is to put business partners in contact, so that Majestic Management & Consulting (MMC) SA does not become a party to any contracts that may be concluded via the platform.

2.2. Majestic Management & Consulting (MMC) SA therefore assumes no liability in connection with the contracts that will be concluded, whether in connection with the legality of the services, delivery times or guarantees.

2.3. These GTC, however, serve as a minimum standard for contracts concluded between the partners.

3. Data

3.1. Majestic Management & Consulting (MMC) SA is authorised to collect and process the data necessary for the proper functioning of its services.

3.2. Furthermore, each party is responsible for the collection and processing of its data.

4. Products, prices and delivery

4.1. The images of the products appearing on the Symposium platform are for illustrative purposes only and are provided, unless otherwise indicated, without any obligations.

4.2. The prices announced by the suppliers are final prices, excluding tax.

4.3. The announced delivery times are indicative.

5. Conclusion of the contract

5.1. Orders can be placed via Symposium.

5.2. The parties organise their contractual relations independently.

6. Delivery control and warranty

6.1. It is the client's responsibility to verify the products delivered and the quality of the services provided and to immediately notify the supplier of any defects.

6.2. The warranty offered in connection with a product or service is the sole responsibility of the supplier, to the total exclusion of Majestic Management & Consulting (MMC) SA.

7. Exclusion

7.1. The parties are invited to inform Majestic Management & Consulting (MMC) SA of any difficulty encountered with a business partner (price change, late delivery, defective product, late payment, etc.).

7.2. Majestic Management & Consulting (MMC) SA reserves the right to exclude any person from its platform, even without justification. Any recourse is excluded against the exclusion decision.

8. Limitation of liability

8.1. Majestic Management & Consulting (MMC) SA does not guarantee the flawless operation of its platforms and tools. Consequently, no claim may be made against Majestic Management & Consulting (MMC) SA in connection with its platforms and tools.

8.2. Users are invited to take all useful measures on their part to regularly save their data and orders.

8.3. Majestic Management & Consulting (MMC) SA assumes no responsibility in connection with the information and advertisements of its partners, whether the information appears on the Majestic Management & Consulting (MMC) SA website or on another medium.

9. Payments

9.1. No financial transactions and no payments are made through Symposium.

9.2. The parties are responsible for the management and reliability of the payment tools they choose.

9.3. Likewise, each party applies its own rates freely. The same applies for payment terms, delivery costs, reminder costs, down payments, etc.

10. Copyright

10.1. These GTC belong to Majestic Management & Consulting (MMC) SA, which holds all intellectual property rights.

10.2. Any reproduction of these GTC without the agreement of Majestic Management & Consulting (MMC) SA is expressly prohibited.

11. Entry into force

11.1. These General Terms and Conditions of Sale enter into force on 5 February 2025.

11.2. They were last modified on 5 February 2025.

12. Jurisdiction and applicable law

12.1. These GTC, as well as all contracts concluded between the partners, are governed by Swiss law.

12.2. For any dispute against Majestic Management & Consulting (MMC) SA, the jurisdiction is in Lausanne.

12.3. For any dispute between the partners, the jurisdiction is at the supplier's registered office.
